Dear all,
I have an unpaid work invoice. The client was pty Ltd and the business has been sold to another pty/ABN.

The first PTY/ABN has not yet cancelled its ABN. The owner of the old PTY/ABN still owns the property of the business however he claimed that the actual business shas gone to the new owner/ABN/PTY.

Is this right that the invoice should be paid by the old owner unless there is no fund left on his balance sheet or if he has signed an contract with the new owner that any old debts should be liable by the new owner?

If yes, where can I find such information to show to the old owner? eg from Asic or ATO.

Your insights would be really appreciated!

Has he genuinely sold the business, or just phoenixed it in an attempt to evade debt?
