If a lawyer is acting for a Board of Directors (of which they are one), and the company of which they are a shareholder of is being challenged over a conflict of interest, they say they will withdraw from the matter and hand over to another law firm, is it:

Legal and ethical for the new firm to simply allow the lawyer to continue to act on behalf of himself and his fellow directors and simply use the new firm's letterhead, and sign his letters for him, giving the appearance that he has stepped down?

Where would I find rules governing that and the lawyer behaviour?

Call the law body in your state and ask them this question.

I'd be surprised if the 'independent law firm' allowed themselves to be used in this way. Certainly does raise ethical legal issues for both lawyers.
